Terms of Service
These draft Terms describe the rules for using Harpy and the boundaries we expect counsel to verify before launch.

1. Agreement to these Terms
These Terms of Service (“Terms”) govern your access to and use of the Harpy platform and related websites and services (the “Service”), operated by Provider CARE Consulting LLC (“Harpy,” “we,” “us”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a practice or organization, you represent that you are authorized to bind it to these Terms.
If you do not agree to these Terms, you may not use the Service. Additional terms may apply to specific features, order forms, Business Associate Agreements, data processing agreements, or written statements of work.
2. The Service
Harpy provides patient-experience and practice-intelligence tools for independent dental, healthcare, and allied-health practices. The Service may include feedback links, reputation-monitoring workflows, practice and team reflection tools, analytics, drafting assistance, and related features.
Harpy is a software service. It does not provide medical, dental, legal, financial, employment, or professional advice, and it is not a substitute for a practice’s professional judgment.
3. Eligibility, accounts, and practice responsibilities
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for the activity that occurs under your account, and for keeping your credentials secure.
Each practice is responsible for its workforce users, patient and staff notices, professional obligations, platform-review obligations, and all consents or authorizations needed to use Harpy lawfully.
4. Subscriptions, trials, and billing
Harpy may offer subscriptions, trials, pilots, promotional plans, or paid plans at the prices and terms stated at signup or in an order form. Unless otherwise stated, subscriptions renew automatically until canceled.
You authorize Harpy or its payment processor to charge the payment method on file for applicable fees and taxes. You can cancel as described in the Service or order form. Fees already paid are non-refundable except where required by law or expressly stated in writing.
5. Customer data
As between you and Harpy, you retain ownership of data you submit to the Service (“Customer Data”). You grant Harpy the rights needed to host, process, transmit, display, secure, and otherwise use Customer Data to provide and improve the Service, comply with law, and enforce these Terms.
You represent that you have all rights, notices, permissions, and consents needed to provide Customer Data to Harpy and to allow Harpy to process it as described in these Terms and related agreements.
6. Customer data and patient information
Do not submit protected health information (“PHI”) to Harpy unless your plan and agreement expressly permit that use, including any required Business Associate Agreement. If a Business Associate Agreement applies and conflicts with these Terms, the Business Associate Agreement controls for PHI.
Harpy may refuse, suspend, or remove workflows that appear to submit PHI or other sensitive information outside an approved agreement or supported feature.
7. Review and reputation compliance
You may not use Harpy to mislead patients, review platforms, or the public. You may not use Harpy to gate review invitations based on sentiment, suppress negative feedback, offer incentives for public reviews, fabricate reviews, or otherwise violate review-platform rules or advertising, endorsement, consumer-protection, or professional regulations.
Harpy may provide workflows or drafting assistance, but your practice remains responsible for deciding what to send, post, or publish and for ensuring those actions are lawful and professionally appropriate.
8. AI features
Harpy may include AI-assisted features. AI outputs are drafts, classifications, summaries, or suggestions. They may be incomplete or incorrect and must be reviewed by an appropriate person before being used for public communications, employment decisions, patient-facing actions, or other important operational decisions.
Unless your plan and agreement expressly permit sensitive data use, you must not submit PHI or other restricted information to AI-enabled features. Harpy’s pre-ZDR OpenAI implementation standard treats store=false as a data-minimization control, not a Zero Data Retention claim.
9. Acceptable use
You agree not to misuse the Service, including by attempting to access it without authorization, interfering with its operation, bypassing access controls, scraping, reverse engineering, introducing malicious code, uploading unlawful content, violating the rights of others, or using the Service in violation of law, professional regulation, or platform rules.
10. Intellectual property
The Service, including its software, design, and content (excluding Customer Data), is owned by Harpy and its licensors and is protected by intellectual-property laws. This includes Harpy’s interfaces, workflows, taxonomy, models, analytics methods, prompts, designs, documentation, and brand assets.
We grant you a limited, non-exclusive, non-transferable, non-sublicensable right to use the Service in accordance with these Terms. No rights are granted except as expressly stated.
11. Third-party services
The Service integrates with third-party providers (for example, authentication, payment, hosting, analytics, maps, business-profile, AI, and reputation platforms). Your use of those services may be subject to their own terms, and we are not responsible for third-party services.
Google and Microsoft services may be used for sign-in and, where enabled, Google Maps Platform, Places, or Google Business Profile-related workflows. You are responsible for using connected third-party accounts and public listing data in a way that complies with applicable terms, platform policies, professional duties, and law.
12. Beta features, availability, and changes
Some features may be released as pilot, beta, preview, or early-access features. These features may change, be unavailable, or be discontinued at any time. Unless a separate written agreement says otherwise, Harpy does not provide a service-level agreement or uptime commitment.
We may add, change, suspend, or remove features over time, including to improve the Service, address security or compliance needs, or respond to third-party provider changes.
13. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, create risk for Harpy or others, fail to pay fees, or use the Service in a way that could violate law, contract, professional rules, or platform policies.
On termination, your right to use the Service ends. Data export, deletion, and retention will be handled as described in the Service, applicable order forms, and any controlling agreement.
14. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. Harpy does not provide medical, legal, or professional advice.
15. Limitation of liability
To the fullest extent permitted by law, Harpy will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data. Our total liability for any claim relating to the Service will not exceed the amounts you paid us for the Service in the twelve months before the claim.
16. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless Harpy from claims arising out of your Customer Data, your use of the Service, your violation of these Terms, or your violation of law, professional rules, review-platform rules, or third-party rights.
17. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide notice as required by law. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
18. Governing law
These Terms are governed by the laws of the State of Idaho, United States, without regard to its conflict-of-laws rules, except where a mandatory law of your jurisdiction provides otherwise.
